End User Licence Agreement (EULA)

1. Acceptance of Terms
By purchasing, accessing, or using any ScenarioLab product, simulation, training module, SaaS platform, or related service (the “Platform”), you agree to be legally bound by this End User Licence Agreement (“EULA”).
If you do not agree to this EULA, you must not access or use the Platform.
This EULA is accepted electronically at the point of checkout (including via Stripe payment processing) and forms a legally binding agreement between you (“User”) and ScenarioLab Ltd.
2. Licence Model – Per Seat / Per User
2.1 Each purchase grants a single, non-transferable, non-exclusive licence for one named individual user.
2.2 Each User must:
- Use their own unique login credentials
- Not share login details
- Not allow multiple individuals to access under one licence
2.3 Licences are granted for the period specified at purchase (e.g., one-time access, fixed-term access, or subscription period).
2.4 Licences may not be resold, sublicensed, transferred, or assigned without prior written consent.
3. Permitted Use
The User may:
- Access and complete ScenarioLab simulations
- Use training materials for personal professional development
- Download certificates where applicable
- Use content solely for lawful educational or training purposes
4. Restrictions
The User must not:
- Copy, reproduce, modify, or create derivative works
- Reverse engineer or decompile the Platform
- Extract content, scenarios, code, scoring logic, or structure
- Use automated scraping tools
- Share login credentials
- Host, mirror, or republish content
- Use the Platform to develop competing products
Strict prohibition on reverse engineering applies at all times.
5. Intellectual Property
5.1 All intellectual property rights in the Platform remain exclusively owned by ScenarioLab Ltd.
5.2 This includes but is not limited to:
- Game design
- Storylines
- Characters
- AML training structures
- Scoring algorithms
- Analytics architecture
- Graphics and UI elements
- Source code and object code
5.3 No ownership rights are transferred under this EULA.
6. Data Protection and Privacy
Use of the Platform is subject to ScenarioLab’s:
- Privacy Policy
- GDPR Statement
- Terms of Use
- Compliance Policy
- Complaints Procedure
- Equal Treatment Policy
By accepting this EULA, you confirm you have read and understood these policies.
ScenarioLab processes personal data in accordance with UK GDPR and applicable data protection laws.
7. Regulatory Disclaimer
ScenarioLab provides professional training simulations and educational tools.
The Platform:
- Does not constitute legal advice
- Does not constitute regulatory advice
- Does not replace professional compliance frameworks
- Does not guarantee regulatory approval or certification
Users remain responsible for compliance with applicable laws and regulatory obligations.
8. Payment and Refunds
8.1 All payments are processed securely via Stripe or authorised payment processors.
8.2 Fees are non-refundable except where required by law or explicitly stated in writing.
8.3 If access is revoked due to breach of this EULA, no refund will be provided.
9. Service Availability
9.1 ScenarioLab aims to maintain high availability but does not guarantee uninterrupted service.
9.2 Maintenance, upgrades, or force majeure events may temporarily impact access.
9.3 ScenarioLab is not liable for downtime beyond its reasonable control.
10. Cybersecurity and Platform Integrity
10.1 Users must not attempt to compromise platform security.
10.2 Any suspected breach or vulnerability must be reported immediately.
10.3 ScenarioLab maintains security controls aligned with recognised industry standards.
11. Limitation of Liability
11.1 Nothing in this EULA excludes liability for fraud or death/personal injury caused by negligence.
11.2 Subject to clause 11.1, ScenarioLab’s total liability arising from use of the Platform shall not exceed the amount paid by the User for the applicable licence.
11.3 ScenarioLab shall not be liable for:
- Indirect or consequential loss
- Loss of profit
- Loss of business opportunity
- Loss of regulatory status
- Reputational damage
12. Termination
12.1 ScenarioLab may suspend or terminate access if:
- The User breaches this EULA
- Payment is reversed or disputed
- Unauthorised sharing is detected
- Fraudulent activity is suspected
12.2 Upon termination, licence rights immediately cease.
13. Modifications to Platform or Terms
ScenarioLab may update:
- Platform functionality
- Scenarios
- Policies
- This EULA
The version in effect at time of purchase governs that licence unless otherwise required by law.
14. Governing Law
This EULA is governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Entire Agreement
This EULA, together with the referenced policies above, constitutes the entire agreement between the User and ScenarioLab Ltd in relation to the Platform.
